1. Agreement

By accessing or using RateInvite ("Service", "Platform"), operated by RateInvite ("we", "us", "our") at rateinvite.com, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

RateInvite provides local businesses with tools to request Google reviews through QR codes, consent-based SMS messaging, and a customer-facing review flow. Features include a dedicated SMS phone number, an immediately available QR code, access to separately sold customizable Brand Shop products, and a dashboard for managing review requests.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service as a business account holder. By registering, you represent that these conditions are met.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials.
You must provide accurate and current business information.
You are responsible for all activity that occurs under your account.
Notify us immediately of any unauthorized use at support@rateinvite.com.

5. SMS Messaging Terms

This section governs all SMS messages sent through the RateInvite platform.

Consent

A customer may opt in directly by submitting a phone number and checking the consent checkbox on the business's QR landing page. The checkbox is not pre-checked and requires affirmative action.

An authenticated business owner may also create an SMS request in the dashboard only after checking an attestation that the recipient previously gave valid consent for the non-marketing review-request message. By using that workflow, you represent that the recipient gave valid consent and that you can provide adequate evidence of the consent if requested. RateInvite records the authenticated owner attestation, but that record does not replace your responsibility to obtain and retain legally sufficient consent.

Message frequency

Each customer web-form opt-in or owner-attested dashboard request schedules 1 SMS review-request message. Message frequency may vary based on how often a customer consents to messages from, or has a consented interaction with, a participating business location.

Message and data rates

Standard message and data rates may apply to SMS messages received through this platform, depending on the recipient's mobile carrier plan.

Opt-out (STOP)

Recipients can opt out of SMS messages at any time by replying STOP to any message. Upon receiving STOP, no further messages will be sent to that number. For assistance, recipients may reply HELP or contact support@rateinvite.com.

Prohibited SMS uses

You may not use the RateInvite SMS platform to send spam, unsolicited marketing, illegal content, or messages to individuals who have not given consent. Violations may result in immediate account termination.

No sharing of mobile numbers

Customer mobile phone numbers collected or owner-attested for review-request messaging are not sold, rented, traded, or shared with third parties for marketing purposes. They are used only to provide that business location's messaging workflow, maintain consent and opt-out records, prevent abuse, and meet legal or carrier obligations. Shipping contact numbers submitted for a physical order are used separately for fulfillment and delivery.

SMS usage limits (fair use)

During the 30-day trial, outbound SMS is limited to 100 messages per trial period. You will receive an email notification when you reach 80% of that limit. After the limit is reached, SMS sending pauses until a paid plan is active.

On an active monthly or annual plan, outbound SMS is limited to 500 messages per calendar month. If the monthly limit is reached, SMS sending pauses for the remainder of that month. Contact support@rateinvite.com if your volume needs differ.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Send messages to individuals who have not consented
Attempt to reverse-engineer or copy the platform
Impersonate another business or individual
Use the Service to collect fake or fraudulent reviews

7. Free Trial, Billing, and Cancellation

Free trial. RateInvite offers a 30-day card-required trial for monthly or annual billing. No charge is made during the trial period. The billing option you select starts automatically when the trial ends unless you cancel before that date.

Monthly billing. After your trial, monthly billing is $99 per month and renews each month until canceled.

Annual billing. After your trial, annual billing is $990 per year and renews each year until canceled. The annual price includes two months free compared with 12 monthly payments.

Additional locations. After one location has an active paid subscription, each additional location is $59 per month or $590 per year. Eligibility is determined from the locations on your account.

Cancellation. You may cancel at any time from the Billing page in your dashboard. If you cancel before your trial ends, no charge is made. If you cancel after paid billing starts, access continues until the end of the current paid billing period. No prorated refunds are issued except under the goodwill refund policy below.

7-day goodwill refund. If you cancel within 7 days of your first paid subscription charge, you may request a full refund by contacting support@rateinvite.com. This policy applies only to the first charge after the trial and only once per account.

Pricing changes. We reserve the right to change pricing with 30 days' notice to active subscribers.

8. Physical Signs and Fulfillment

Separate Brand Shop purchase. Physical products are not included with monthly or annual RateInvite subscriptions. Each product and option is sold separately at the catalog price shown in Brand Shop.

Payment and confirmation required. A physical product is not produced until its customization is saved, shipping details are confirmed, and Stripe confirms payment for the Brand Shop order.

Product availability. Available products, options, prices, shipping charges, and supported destinations are shown during Brand Shop checkout and may change over time.

Fulfillment timing. Production and carrier delivery times vary; any estimate is not guaranteed.

No guaranteed review outcomes. Physical signs and SMS review invites are tools to make it easier for customers to leave reviews. RateInvite does not guarantee any specific number of reviews, review ratings, or revenue outcomes from use of the platform.

9. Third-Party Services and Fulfillment

RateInvite uses service providers to operate parts of the Service. These include Twilio for SMS delivery, Stripe for billing, Printify and its fulfillment partners for confirmed physical orders, and Google for optional sign-in, account linking, place lookup, and review-destination configuration.

You authorize us to provide each service provider with the information reasonably needed to perform the selected service. For physical fulfillment, this can include recipient and shipping contact details, shipping address, order data, and artwork. Your use of third-party features may also be subject to the provider's terms and privacy policy. RateInvite is not responsible for delays or outages caused by a third-party provider, subject to applicable law.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We are not liable for losses caused by downtime, delays in SMS delivery, or carrier issues.

11. Intellectual Property

All platform code, design, and content are the property of RateInvite. Your business data and customer data remain yours. You grant us a limited license to process that data solely to provide the Service.

12. Termination

We may suspend or terminate your account for violation of these Terms, non-payment, or any reason with reasonable notice. You may cancel at any time.

13. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee that SMS messages will be delivered, that reviews will be received, or that any particular outcome will result from use of the platform.

14. Limitation of Liability

To the maximum extent permitted by law, RateInvite is not liable for indirect, incidental, special, or consequential damages arising from use of the Service. Our total liability to you shall not exceed the amount paid by you in the three months prior to the claim.

15. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the applicable courts.

16. Changes to Terms

We may update these Terms periodically. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
