1. Agreement

By accessing or using RateInvite ("Service", "Platform"), operated by RateInvite ("we", "us", "our") at rateinvite.com, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

RateInvite provides local businesses with tools to collect Google reviews through QR codes, automated SMS messaging, and a customer-facing review flow. Features include a dedicated SMS phone number, printable QR signs, and a dashboard for managing review requests.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service as a business account holder. By registering, you represent that these conditions are met.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials.
You must provide accurate and current business information.
You are responsible for all activity that occurs under your account.
Notify us immediately of any unauthorized use at [email protected].

5. SMS Messaging Terms

This section governs all SMS messages sent through the RateInvite platform.

Consent

SMS messages are sent only to customers who have explicitly opted in by submitting their phone number and checking a consent checkbox on the business's QR landing page. The consent is not pre-checked and requires affirmative action. By using the RateInvite platform to send SMS messages, you as the business owner confirm that all recipients have provided valid opt-in consent.

Message frequency

Customers receive 1 SMS message per visit event (one review request per QR scan opt-in). Message frequency may vary based on how often a customer visits a participating business location.

Message and data rates

Standard message and data rates may apply to SMS messages received through this platform, depending on the recipient's mobile carrier plan.

Opt-out (STOP)

Recipients can opt out of SMS messages at any time by replying STOP to any message. Upon receiving STOP, no further messages will be sent to that number. For assistance, recipients may reply HELP or contact [email protected].

Prohibited SMS uses

You may not use the RateInvite SMS platform to send spam, unsolicited marketing, illegal content, or messages to individuals who have not given consent. Violations may result in immediate account termination.

No sharing of mobile numbers

Mobile phone numbers collected through the RateInvite platform are not sold, rented, traded, or shared with third parties for marketing purposes. Numbers are used solely to deliver the review request SMS on behalf of the specific business location.

SMS usage limits (fair use)

During the 60-day trial, outbound SMS is limited to 100 messages per trial period. You will receive an email notification when you reach 80% of that limit. After the limit is reached, SMS sending pauses until your annual plan is active.

On an active annual plan, outbound SMS is limited to 500 messages per calendar month. If the monthly limit is reached, SMS sending pauses for the remainder of that month. Contact [email protected] if your volume needs differ.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Send messages to individuals who have not consented
Attempt to reverse-engineer or copy the platform
Impersonate another business or individual
Use the Service to collect fake or fraudulent reviews

7. Free Trial, Billing, and Cancellation

Free trial. RateInvite offers a 60-day free trial. Your payment method is required to start the trial but no charge is made during the trial period. Your annual plan ($1,620/year, equivalent to $135/month) starts automatically on the day the trial ends unless you cancel before that date.

Annual billing. After your trial, you are billed $1,620 per year. Billing uses the calendar year from your subscription start date. You will receive a reminder before each annual renewal.

Cancellation. You may cancel at any time from the Billing page in your dashboard. If you cancel before your trial ends, no charge is made. If you cancel after your annual billing starts, your access continues until the end of the paid annual period. No prorated refunds are issued except under the goodwill refund policy below.

7-day goodwill refund. If you cancel within 7 days of your first annual billing charge, you may request a full refund by contacting [email protected]. This policy applies only to the first charge after the trial and only once per account.

Pricing changes. We reserve the right to change pricing with 30 days' notice to active subscribers.

8. Physical Signs and Fulfillment

Included QR sign. After your first successful annual payment, your subscription includes one custom QR code sign. The sign will be produced and shipped after you confirm your design and shipping address in the dashboard. Shipping is included for U.S. addresses. Allow 4 to 6 weeks for delivery.

Acrylic sign add-on. An optional premium acrylic sign is available for a one-time charge of $45, including U.S. shipping. This can be purchased separately during or after the trial. International shipping is not currently available.

Sign confirmation required. Signs are not produced until you confirm your design and shipping address. No duplicate included signs will be shipped: one included sign per annual subscription, per business location.

No NFC signs. NFC-enabled signs are not offered at this time.

No guaranteed review outcomes. Physical signs and SMS review invites are tools to make it easier for customers to leave reviews. RateInvite does not guarantee any specific number of reviews, review ratings, or revenue outcomes from use of the platform.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We are not liable for losses caused by downtime, delays in SMS delivery, or carrier issues.

9. Intellectual Property

All platform code, design, and content are the property of RateInvite. Your business data and customer data remain yours. You grant us a limited license to process that data solely to provide the Service.

10. Termination

We may suspend or terminate your account for violation of these Terms, non-payment, or any reason with reasonable notice. You may cancel at any time.

11. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee that SMS messages will be delivered, that reviews will be received, or that any particular outcome will result from use of the platform.

12. Limitation of Liability

To the maximum extent permitted by law, RateInvite is not liable for indirect, incidental, special, or consequential damages arising from use of the Service. Our total liability to you shall not exceed the amount paid by you in the three months prior to the claim.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the applicable courts.

14. Changes to Terms

We may update these Terms periodically. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
